The terms and conditions governing the professional business and consulting services provided by Koleaph Aureum Pty Ltd (ABN 81 703 371 724).
1. Agreement to These Terms
By engaging Koleaph Aureum Pty Ltd (ABN 81 703 371 724) ("we", "us", "our") or by using our website at https://koleaphaureum.online, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not engage our services or use our website. We provide professional business and consulting services to clients across Melbourne VIC and greater Victoria, Australia.
2. Services
We provide professional business and consulting services, including advisory, planning, and operational support as agreed in writing with each client. The specific scope, deliverables, timelines, and fees for any engagement will be set out in a separate written proposal, engagement letter, or statement of work. In the event of any inconsistency between these Terms and a signed engagement document, the engagement document will prevail to the extent of the inconsistency.
3. Quotes, Fees and Payment
Any quote provided by us is valid for 30 days from the date of issue unless otherwise stated in writing. Fees are payable in accordance with the payment terms set out in the applicable engagement document or invoice. We reserve the right to charge interest on overdue amounts and to suspend services where invoices remain unpaid. All fees are quoted in Australian dollars (AUD) and are inclusive of GST where applicable.
4. Client Responsibilities
To enable us to provide our services effectively, you agree to provide accurate, complete and timely information, to respond to reasonable requests for input, and to notify us promptly of any change in circumstances that may affect the engagement. We are not liable for delays or deficiencies in our services caused by incomplete, inaccurate or late information provided by you.
5. Confidentiality
Both parties agree to keep confidential all non-public information disclosed by the other party in connection with an engagement, and to use such information only for the purposes of the engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
6. Intellectual Property
All pre-existing intellectual property remains the property of the party that owned it prior to the engagement. Upon full payment of applicable fees, you own the deliverables created specifically for you under the engagement. We retain the right to reuse our general methodologies, frameworks, tools and know-how developed or used in the course of providing services.
7. Limitation of Liability
To the fullest extent permitted by law, our liability arising from or in connection with our services is limited to the fees paid by you for the relevant engagement. We are not liable for indirect, incidental, special or consequential loss, including loss of profits, revenue or business opportunity. Nothing in these Terms excludes, restricts or modifies any rights you may have under the Australian Consumer Law or any other legislation that cannot lawfully be excluded.
8. Australian Consumer Law
Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For goods and services acquired for personal, domestic or household use, you are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have services resupplied or fees reduced where services fail to be of acceptable quality and the failure does not amount to a major failure.
9. Termination
Either party may terminate an engagement in accordance with the notice provisions of the applicable engagement document. We may suspend or terminate services immediately if you breach these Terms, fail to pay fees when due, or if continuing the engagement would place us in breach of law or professional standards. Upon termination, you remain liable for fees for services provided up to the date of termination.
10. Privacy
We handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). By engaging our services, you consent to the collection, use and disclosure of information as described in that policy.
